These Terms of Use (“Terms”) govern your access to and use of ioneremia.site and any related services, communications, payment links, partner offers, referral links, intake forms, document uploads, WhatsApp messages, email communications, and service engagements. By using this site, submitting an inquiry, accepting a quote, paying an invoice, uploading documents, or engaging with any service offered by Ion Eremia, you agree to these Terms, together with the Refund Policy and Privacy & Cookies Policy.
Binding terms for all site visitors and clients
1. Acceptance of Terms
By accessing or using ioneremia.site, submitting an intake form, sending an email, messaging on WhatsApp, clicking a partner link, requesting a quote, paying an invoice, uploading documents, or otherwise engaging with Ion Eremia, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the site or services on behalf of a business or legal entity, you represent that you have authority to bind that entity.
2. Services and Scope
Ion Eremia offers support services related to business setup, LLC or C Corp formation direction, EIN route support, registered agent direction, business address path, banking preparation, payment processor readiness, document organization, KYC preparation, and related business setup assistance. Services are administrative, informational, and operational in nature unless a separate written agreement says otherwise.
3. No Legal, Tax, Financial, Accounting, or Immigration Advice
Information on this site, in messages, in documents, or provided through service engagements is for informational and operational support purposes only. It does not constitute legal, tax, financial, accounting, immigration, investment, or banking advice. You are encouraged to consult qualified legal counsel, tax professionals, accountants, immigration counsel, and financial advisors for your specific situation before making decisions.
4. No Guarantee of Third-Party Outcomes
Ion Eremia does not control state filing offices, the IRS, banks, payment processors, registered agents, address providers, compliance teams, KYC reviewers, software providers, partner platforms, or government agencies. Ion Eremia does not guarantee approval, acceptance, processing speed, account opening, EIN issuance timing, bank access, Stripe approval, PayPal approval, Wise approval, Payoneer approval, Mercury approval, Relay approval, or any other third-party decision.
5. Formation, EIN, and Filing Timing
Any timeline shown on the site, in messages, on checkout pages, or in service descriptions is an estimate only. Filing, EIN, banking, address, registered agent, and payment platform timelines may change because of state office delays, IRS delays, compliance review, missing information, rejected names, system outages, holidays, third-party backlogs, or client response time. Delays caused by third parties or missing client information do not automatically create a refund right.
6. Banking and Payment Processor Readiness
Banking and payment processor support means preparing a cleaner company file, direction, and readiness path. It does not mean Ion Eremia opens accounts directly, underwrites your business, controls risk review, or guarantees approval. Banks, payment processors, wallets, and platforms may approve, deny, freeze, close, limit, or request additional information at their own discretion.
7. Client Responsibilities and Accuracy of Information
You are responsible for the accuracy, completeness, legality, and truthfulness of all information, documents, business descriptions, owner details, addresses, payment details, and materials you submit. Failure to provide accurate information, respond to requests, complete verification steps, or follow instructions may delay or prevent service delivery and does not automatically entitle you to a refund.
8. Compliance and Prohibited Uses
You may not use the site or services to support fraud, money laundering, sanctions violations, illegal activity, deceptive business activity, fake identities, forged documents, unlawful payments, prohibited products, or activity that violates any bank, payment processor, platform, government, or partner policy. Ion Eremia may refuse, suspend, or terminate service if a request appears risky, unlawful, misleading, incomplete, or prohibited.
9. Payment, Invoicing, and Discounted Offers
Fees are quoted before work begins. Payment is due as stated on the invoice, quote, checkout page, or payment link. Discounted offers, partner deals, referral offers, and reduced-price setup packages are final sale once work has started, documents have been prepared, third-party fees have been incurred, a filing has been submitted, a service slot has been reserved, or instructions have been delivered, except where mandatory consumer law provides otherwise.
10. Refunds and Work Stage
Refund eligibility is governed by the Refund Policy and by the stage of work already performed. Once work has started, documents have been reviewed, documents have been prepared, filing steps have started, a state filing has been submitted, an EIN route has been prepared, third-party costs have been incurred, or a service slot has been reserved, fees may be non-refundable in whole or in part.
11. Chargebacks and Payment Disputes
If you file a chargeback, payment dispute, or reversal after work has started or after service materials have been delivered, Ion Eremia may pause or terminate services, submit proof of work, submit communications, submit delivery records, and recover unpaid amounts where permitted by law. Filing a false or misleading payment dispute may result in refusal of future services.
12. Electronic Communications
You consent to receive communications electronically, including by email, WhatsApp, SMS, web forms, payment links, document upload links, Stripe checkout, partner dashboards, and other online tools. Electronic communications may satisfy any requirement that a communication be in writing where permitted by law.
13. Document Delivery and Digital Records
Unless agreed otherwise in writing, documents are delivered digitally. Ion Eremia may use secure folders, email, upload links, partner dashboards, or other digital tools to collect, prepare, store, and deliver service materials. You are responsible for downloading, reviewing, saving, and backing up your documents after delivery.
14. Intellectual Property
All content on this site, including text, graphics, layouts, forms, icons, visuals, and code, is owned by or licensed to Ion Eremia and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works, scrape, resell, or publicly display any part of the site or its content without prior written permission.
15. Materials You Submit
Materials you submit remain your property. You grant Ion Eremia a limited license to receive, access, review, copy, store, transmit, modify, and use submitted materials only as needed to review requests, prepare services, document work, support delivery, prevent abuse, comply with legal or business record obligations, and communicate with relevant third parties involved in the requested service.
16. Prohibited Conduct
You agree not to use the site or services for any unlawful purpose, submit false or misleading information, interfere with site security, scrape the site without permission, impersonate others, harass or abuse others, reverse engineer any site tools, or misuse the services to mislead banks, processors, agencies, platforms, or third parties.
17. Third-Party Links, Tools, and Providers
The site may contain links to third-party websites, payment processors, banks, registered agents, address providers, document platforms, partner dashboards, communication tools, or software providers. Those third parties operate under their own terms, privacy policies, review standards, risk rules, and approval processes. 18. Partner and Referral Offers
Ion Eremia may share partner links, referral links, affiliate offers, software tools, banking options, payment processor options, registered agent options, address options, or other third-party resources. These are provided for convenience and business setup direction only. Ion Eremia may receive referral credit, affiliate compensation, partner benefits, or other consideration where permitted by law.
19. Disclaimers of Warranties
The site and all services are provided “as is” and “as available.” To the fullest extent permitted by law, Ion Eremia disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, accuracy, availability, and non-infringement.
20. Limitation of Liability
To the maximum extent permitted by applicable law, Ion Eremia, its owner, agents, affiliates, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost opportunities, business interruption, account denial, processor rejection, banking refusal, compliance review, government delay, filing delay, or third-party platform decision. Total liability for all claims is limited to the amount you paid to Ion Eremia in the twelve months before the event giving rise to the claim.
21. Indemnification
You agree to indemnify, defend, and hold harmless Ion Eremia and its owner, agents, affiliates, contractors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of your use of the site or services, violation of these Terms, inaccurate or unlawful information you submit, violation of third-party rights, or disputes with banks, processors, platforms, agencies, or service providers.
22. Suspension and Termination
Ion Eremia may suspend or terminate your access to the site or services if you violate these Terms, submit fraudulent or misleading information, fail to pay fees when due, fail to cooperate with required steps, create compliance risk, abuse communication channels, or engage in conduct that may harm Ion Eremia, clients, partners, platforms, or third parties.
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of Romania, without regard to conflict of law principles, except where mandatory consumer protection law requires otherwise. Any dispute arising out of or relating to these Terms, the site, or the services shall be resolved exclusively in the competent courts of Bucharest, Romania, except where mandatory consumer protection law gives a consumer rights in another jurisdiction.
24. Class Action Waiver
To the fullest extent permitted by law, you agree to bring any claim against Ion Eremia only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding.
25. Limitation on Time to File Claims
To the fullest extent permitted by law, any claim or cause of action arising out of or related to these Terms, the site, or the services must be filed within one year after the claim or cause of action arose, or it shall be permanently barred.
26. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. Failure to enforce any right or provision shall not constitute a waiver.
27. Changes to Terms
Ion Eremia may update these Terms from time to time by posting a revised version on this page with a new effective date. Your continued use of the site or services after any update constitutes acceptance of the revised Terms.
28. Entire Agreement
These Terms, together with the Refund Policy and Privacy & Cookies Policy, constitute the entire agreement between you and Ion Eremia regarding your use of the site and services, superseding prior agreements, communications, or representations, whether written or oral.
